ThaiNamthip: advising the client on the amalgamation of two subsidiaries, followed by a shareholding restructure in which Coca-Cola divested all its shares in ThaiNamthip and Swire Beverages acquired a majority stake in ThaiNamthip, including its minority investments in each of the Vietnamese and Cambodian bottlers.
CP Axtra Public Company Limited (Lotus): advising the client on (1) its joint venture with Central Pattana PCL (CPN) to develop strategic shopping centre projects in South Pattaya, Chonburi Province (Phase 1), (2) the establishment of the property fund (TLGF) for the acquisition of property from Tesco Lotus and the subsequent leaseback of Tesco Lotus stores, including a capital increase of approximately THB 7.5 billion and the sale of five Tesco Lotus hypermarkets to TLGF, (3) the site acquisition for the Tesco Hypermarket Wang Hin and Chomthong Projects, (4) preparation of commercial contracts (e.g., transportation and export whole sale agreements), and (5) providing advice on various matters, including new business model (new store format), FBA investigation, local competition law compliance, solar rooftop projects, and electronic transactions.
Thai Oil Public Company Limited: advising the client on the disposal of 10.78% of its shares directly held in Global Power Synergy Public Company Limited to PTT Public Company Limited and one of PTT’s subsidiaries, Siam Management Holding Co., Ltd.
Legal Due Diligence: conducted numerous legal due diligence exercises related to merger and acquisition transactions.
